We are able to draft Contracts of Purchase and Sale for private real estate deals. We can assist with any addendums that may be required including the request of extensions for completion or the removal of subjects.
We can also draft Assignments of Contracts. An assignment of contract occurs where a party chooses to assign (give or sell) their contract to another party before the terms of the contract have completed. Most commonly, this occurs where a property is “flipped” for profit. Here, purchaser A has entered into a contract with the seller to buy a property. A few days later, purchaser A is made an offer by Purchaser B to purchase A’s right to buy the property. Purchaser A accepts the offer from B and assigns his rights to buy the property from the Seller to B. In return for the assignment, A normally takes consideration (a “lift”). The parties to the contract are now the Seller and Purchaser B. Assignments are very common with new condominium developments.
